This Data Processing Agreement ("DPA") is entered into between:
Stage Forge LLC, a Nevada limited liability company, operating under the brand name Totaligo ("Processor," "Service Provider," "Company," "we," "us"),
and
The customer or business entity using Totaligo ("Customer," "Controller," "Business," "you," or "your").
This DPA governs the processing of personal information and business data by Stage Forge LLC in connection with the Totaligo software platform.
This DPA is incorporated into the Totaligo Terms of Service.
This DPA establishes the responsibilities of the parties regarding the collection, processing, storage, protection, and handling of information submitted through Totaligo.
Totaligo provides software tools that allow businesses to manage:
operational records.
"Customer Data"
Means any information, records, files, documents, personal information, or business information submitted, uploaded, transmitted, or stored by Customer through Totaligo.
"Personal Information"
Means information that identifies, relates to, describes, or could reasonably be associated with an individual, as defined by applicable privacy laws.
Examples may include:
vendor contact information.
"Processing"
Means any activity performed on data, including:
deleting.
"Applicable Privacy Laws"
Means privacy and data protection laws applicable to the processing of Customer Data, including where applicable:
other applicable privacy regulations.
Customer determines:
how information is used within Customer's business.
Customer is responsible for complying with applicable privacy, employment, tax, and business laws.
Stage Forge LLC processes Customer Data only:
comply with legal obligations.
Stage Forge LLC does not sell Customer Data.
Customer retains all ownership rights to Customer Data.
Nothing in this DPA transfers ownership of Customer Data to Stage Forge LLC.
Stage Forge LLC receives only the limited rights necessary to provide the Service.
Stage Forge LLC agrees to process Customer Data only according to:
applicable law.
If Stage Forge LLC believes an instruction violates applicable law, we may notify Customer and request clarification.
Stage Forge LLC agrees that individuals authorized to process Customer Data must maintain confidentiality.
Access to Customer Data is limited to:
who require access to operate and support Totaligo.
Authorized personnel are required to maintain confidentiality obligations.
Stage Forge LLC maintains reasonable technical and organizational security measures designed to protect Customer Data.
Security practices may include:
vulnerability management procedures.
No security system can guarantee absolute protection.
Customer acknowledges that internet-based services involve inherent security risks.
Customer authorizes Stage Forge LLC to use trusted third-party service providers necessary to operate Totaligo.
These may include providers for:
artificial intelligence services.
Examples may include:
other providers added in the future.
Stage Forge LLC requires appropriate providers to maintain reasonable protections for processed information.
Payment processing may be handled by third-party payment providers.
Stage Forge LLC does not control or store complete payment card information.
Payment providers process information according to their own agreements and privacy policies.
Customer is responsible for maintaining compliance with payment industry requirements applicable to its business.
If Customer uses AI-powered features within Totaligo:
Customer remains responsible for business decisions based on AI results.
Stage Forge LLC does not use Customer Data to train public AI models without authorization.
If Stage Forge LLC becomes aware of a security incident involving Customer Data, Stage Forge LLC will:
provide notice where required by applicable law.
Customer is responsible for maintaining accurate contact information to receive notifications.
Customer is responsible for:
protecting account credentials.
Upon termination of Customer's account:
backup copies may remain temporarily due to technical limitations.
Deletion obligations are subject to legal, security, and operational requirements.
Customer may request reasonable information regarding Stage Forge LLC's privacy and security practices.
Stage Forge LLC may provide:
compliance information.
Audits must:
protect confidential information.
Customer acknowledges that Customer Data may be processed in the United States and other locations where Stage Forge LLC or service providers operate.
Customer is responsible for ensuring compliance with applicable international privacy requirements.
The limitations of liability contained in the Totaligo Terms of Service apply to this DPA.
Nothing in this DPA creates additional liability beyond what is required by applicable law.
This DPA remains effective while Customer uses Totaligo or while Stage Forge LLC processes Customer Data.
Termination of the Totaligo account terminates this DPA except for obligations that survive termination.
