Welcome to Totaligo™, a cloud-based Software-as-a-Service ("SaaS") platform owned and operated by Stage Forge LLC, a Nevada limited liability company ("Stage Forge," "Company," "we," "our," or "us").
Totaligo is a business management and financial recordkeeping platform designed specifically for businesses operating in the trade show, convention, exhibition, event, and mobile retail industries. The Service allows users to organize and manage business operations, including but not limited to:
Providing other business management tools made available by Stage Forge LLC.
Totaligo is a technology platform only. Stage Forge LLC is not a bank, financial institution, payroll provider, certified public accountant (CPA), bookkeeping service, tax preparation company, investment advisor, legal advisor, insurance provider, or fiduciary.
These Terms of Service ("Terms") constitute a legally binding agreement between you and Stage Forge LLC governing your access to and use of the Totaligo website, mobile applications, software, APIs, services, features, content, and related technologies (collectively, the "Service").
By accessing, creating an account, purchasing a subscription, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated by reference, including our Privacy Policy.
If you do not agree to these Terms, you may not access or use the Service.
For purposes of these Terms:
"Account" means a registered Totaligo user account.
"Company" means Stage Forge LLC, a Nevada limited liability company.
"Customer," "User," "You," and "Your" mean any individual or business accessing or using the Service.
"Content" means all information, text, graphics, logos, photographs, software, source code, databases, documentation, reports, analytics, and materials available through the Service.
"Customer Data" means all information entered, uploaded, imported, transmitted, or stored by a User within the Service, including financial information, inventory records, employee information, invoices, customer records, payment records, business analytics, and reports.
"Payment Processor" means any third-party payment provider integrated with Totaligo, including but not limited to Stripe, Square, Clover, and any successor or replacement payment processor.
"Service" means the Totaligo platform, website, applications, APIs, software, and all related services provided by Stage Forge LLC.
"Subscription" means a paid or free plan granting access to the Service.
"Software" means all software, databases, APIs, source code, object code, user interfaces, workflows, and technologies owned or licensed by Stage Forge LLC.
You represent and warrant that:
You are at least eighteen (18) years of age.
You possess the legal authority to enter into this Agreement.
If using the Service on behalf of a business, organization, or other legal entity, you have authority to bind that entity to these Terms.
You will use the Service only for lawful business purposes.
You will comply with all applicable federal, state, local, and international laws and regulations.
You are not prohibited from using the Service under applicable law.
Stage Forge LLC reserves the right to suspend or terminate access if any information provided is inaccurate, fraudulent, misleading, or incomplete.
To use certain features of the Service, you must create an Account.
You agree to:
accept responsibility for all activities occurring under your Account.
You are responsible for maintaining the security of your devices and login credentials.
Stage Forge LLC shall not be liable for losses arising from unauthorized access resulting from your failure to safeguard your Account credentials.
The Company may require identity verification or additional information before granting access to certain features or payment services.
Totaligo is provided solely as a software platform to assist businesses in organizing and managing operational and financial information.
The Service may include:
additional features introduced in future software updates.
Stage Forge LLC may modify, improve, discontinue, suspend, or replace features at any time without prior notice.
No feature is guaranteed to remain available indefinitely unless expressly stated in a separate written agreement.
Totaligo is offered under subscription plans determined solely by Stage Forge LLC. Subscription features, pricing, storage limits, user limits, transaction limits, and available functionality may vary depending on the selected plan.
Stage Forge LLC reserves the right to introduce new plans, modify existing plans, discontinue plans, or change pricing at any time. Any pricing changes will apply prospectively after reasonable notice, except where immediate changes are required by law.
Unless otherwise stated, all paid subscriptions automatically renew at the end of each billing cycle until canceled by the Customer.
By purchasing a subscription, you authorize Stage Forge LLC, or its authorized payment processor, to charge your selected payment method for all recurring subscription fees, taxes, and applicable charges.
Customers may cancel their subscription at any time through their account settings or by contacting Stage Forge LLC.
Cancellation prevents future renewal but does not entitle the Customer to a refund for the current billing period unless required by applicable law or expressly provided in a separate written refund policy.
If payment cannot be successfully processed, Stage Forge LLC may:
terminate the account after reasonable notice.
Customers are solely responsible for any taxes associated with their purchase or use of the Service, except taxes imposed directly on Stage Forge LLC's income.
Totaligo may integrate with independent third-party payment processors including, but not limited to:
Stripe
Square
Clover
Additional payment providers introduced in future updates
These payment providers operate independently of Stage Forge LLC.
Stage Forge LLC is not:
a custodian of customer funds.
All payment transactions are processed solely by the applicable third-party payment processor.
Customers are solely responsible for:
PCI compliance obligations applicable to the Customer.
Stage Forge LLC shall not be responsible for:
processor policy changes.
Any dispute relating to payment processing must be resolved directly with the applicable payment processor unless otherwise required by law.
Totaligo is a software platform only.
Stage Forge LLC does not provide:
auditing services.
Any calculations, dashboards, reports, estimates, projections, analytics, or recommendations generated by the Service are based solely on information entered by the Customer.
The Customer is solely responsible for verifying the accuracy of all information before relying upon it for any business, legal, tax, payroll, employment, accounting, or financial decision.
Stage Forge LLC makes no representation or warranty that any report generated by the Service satisfies accounting standards, tax regulations, payroll requirements, governmental reporting obligations, or audit requirements.
Customers should consult qualified accountants, attorneys, payroll professionals, or tax advisors regarding compliance with applicable laws.
9.9A. USER CONTENT, CUSTOMER DATA, AND USER-GENERATED CONTENT
9A.1 Customer Ownership
Customers retain all ownership rights, title, and interest in the information, records, files, documents, images, text, data, and other materials submitted, uploaded, entered, imported, or stored through Totaligo ("Customer Content").
Customer Content may include, but is not limited to:
other business records.
Stage Forge LLC does not claim ownership of Customer Content.
9A.2 License to Provide the Service
By using Totaligo, Customer grants Stage Forge LLC a limited, non-exclusive, worldwide license to access, host, store, reproduce, transmit, process, and display Customer Content solely as necessary to:
comply with legal obligations.
Stage Forge LLC will not sell Customer Content to third parties.
9A.3 Customer Responsibility for Content
Customers are solely responsible for all Customer Content submitted through their Account.
Customer represents and warrants that:
Customer Content does not contain malicious code, viruses, or harmful materials.
Stage Forge LLC does not verify, audit, or guarantee the accuracy, legality, ownership, or completeness of Customer Content.
9A.4 User-Generated Content Liability
Customers acknowledge that Stage Forge LLC acts only as a technology provider and is not responsible for disputes arising from Customer Content.
Stage Forge LLC shall not be liable for:
violations caused by Customer Content.
Customers are responsible for ensuring that their use of Totaligo complies with all applicable privacy, employment, financial, and business laws.
Customers agree that they will:
comply with all applicable laws and regulations.
Customers agree they will NOT:
infringe the intellectual property rights of others.
Customers are solely responsible for all activity conducted through their accounts.
The Service, including Totaligo, is the exclusive property of Stage Forge LLC.
All rights, title, and interest in and to the Service, including without limitation:
and all related intellectual property,
are owned by Stage Forge LLC or its licensors and are protected by United States copyright laws, trademark laws, trade secret laws, and other applicable intellectual property laws.
Nothing contained within the Service transfers ownership of any intellectual property rights to any Customer.
Except for the limited license granted under these Terms, no rights are granted or implied.
"Totaligo," "Stage Forge," all associated logos, branding, slogans, designs, and other identifiers are trademarks, service marks, or trade dress owned by Stage Forge LLC.
Customers may not use Stage Forge LLC's trademarks without prior written permission except to accurately identify the Service in a manner consistent with applicable trademark law.
All software, content, documentation, graphics, text, designs, reports, layouts, and other materials available through the Service are protected by United States and international copyright laws.
Unauthorized reproduction, copying, publication, distribution, display, or creation of derivative works is strictly prohibited.
Subject to these Terms, Stage Forge LLC grants Customers a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Totaligo solely for the Customer's own internal business operations.
This license does not grant ownership of the Service.
Customers may not:
make the Service available to third parties except through authorized functionality.
The license automatically terminates upon suspension or termination of the Customer's Account.
Customers shall not, directly or indirectly:
attempt to discover, test, or exploit vulnerabilities in the Service except through a vulnerability disclosure process expressly authorized by Stage Forge LLC.
Violation of this Section may result in immediate suspension or termination of access and may subject the Customer to legal action to the extent permitted by law.
Stage Forge LLC welcomes comments, suggestions, ideas, feature requests, and feedback regarding the Service.
If you voluntarily submit Feedback, you grant Stage Forge LLC a perpetual, worldwide, irrevocable, royalty-free, transferable license to use, modify, improve, publish, commercialize, incorporate, and otherwise exploit such Feedback without restriction and without compensation to you.
You represent that your Feedback does not infringe the rights of any third party.
14A. ARTIFICIAL INTELLIGENCE FEATURES
14A.1 AI-Assisted Features
Totaligo may include artificial intelligence ("AI") powered features designed to assist users with business organization, reporting, categorization, workflow automation, analytics, summaries, and other productivity functions.
AI features may include:
workflow suggestions.
14A.2 AI Output Disclaimer
AI-generated information is provided for informational and productivity purposes only.
Customers acknowledge that AI-generated results may contain errors, inaccuracies, omissions, or outdated information.
Customers are solely responsible for reviewing, verifying, and approving AI-generated outputs before relying on them for:
legal compliance.
Stage Forge LLC does not guarantee the accuracy, completeness, reliability, or suitability of AI-generated content.
14A.3 AI Data Processing
Stage Forge LLC may process information submitted through AI-enabled features only for the purpose of providing requested functionality, improving user experience, maintaining security, and operating the Service.
Stage Forge LLC does not use Customer Content to train public artificial intelligence models without appropriate authorization.
Additional information regarding data collection and processing is provided in the Totaligo Privacy Policy.
14A.4 No AI Professional Advice
AI features provided through Totaligo are not a replacement for:
business consultants.
Customers remain responsible for obtaining professional advice when necessary.
14B. THIRD-PARTY TECHNOLOGY PROVIDERS
Totaligo may rely on third-party technology providers to support certain features of the Service, including:
software integrations.
These providers may include payment processors such as Stripe, Square, Clover, and other providers added in the future.
Stage Forge LLC does not control and is not responsible for:
third-party service interruptions.
Customers may be required to accept additional terms from third-party providers before using certain integrations.
14C. PRIVACY POLICY
Your use of Totaligo is also governed by the Totaligo Privacy Policy, which explains how Stage Forge LLC collects, uses, stores, and protects information.
The Privacy Policy is incorporated into these Terms by reference.
By using Totaligo, you acknowledge that you have reviewed and accepted both these Terms of Service and the Privacy Policy.
Stage Forge LLC continually improves the Service.
Accordingly, Stage Forge LLC may:
temporarily suspend access when necessary to protect the integrity, security, or reliability of the Service.
Although Stage Forge LLC strives to maintain high availability, uninterrupted or error-free operation is not guaranteed.
Customers acknowledge that temporary interruptions may occur due to maintenance, software updates, internet failures, cyberattacks, third-party service outages, force majeure events, or circumstances beyond the Company's reasonable control.
Stage Forge LLC shall not be liable for losses arising from temporary interruptions, scheduled maintenance, software updates, or service outages, except where liability cannot be limited by applicable law.
Customers are encouraged to maintain independent backups of critical business records and not rely exclusively on the Service as the sole repository of important information.
By creating an Account, accessing the Service, or clicking any button indicating acceptance of these Terms, including but not limited to "I Agree," "Accept," "Continue," "Create Account," or similar language, you consent to transact electronically with Stage Forge LLC.
You agree that:
it is your responsibility to maintain a current email address and regularly review communications relating to your Account.
You may withdraw consent to electronic communications only by discontinuing use of the Service and closing your Account, subject to any continuing legal or contractual obligations.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS.
STAGE FORGE LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION:
freedom from viruses or harmful code.
Stage Forge LLC does not warrant that:
integrations with third-party services will always function.
Customers acknowledge that software may contain bugs, outages, interruptions, delays, or technical limitations.
Use of the Service is entirely at the Customer's own risk.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAGE FORGE LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY:
any other commercial losses arising from or relating to the use of the Service.
This limitation applies regardless of the legal theory asserted, including contract, tort (including negligence), strict liability, statutory claims, or otherwise.
To the fullest extent permitted by law, the aggregate liability of Stage Forge LLC arising out of or relating to the Service shall not exceed the greater of:
(b) One Hundred United States Dollars (US $100.00), if the Customer has not paid any subscription fees.
Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, the above limitations shall apply only to the extent permitted by law.
You agree to defend, indemnify, and hold harmless Stage Forge LLC and its members, managers, officers, employees, contractors, affiliates, successors, assigns, licensors, and agents from and against any claims, actions, lawsuits, liabilities, damages, judgments, fines, penalties, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
fraud or unlawful activity committed by you or through your Account.
Stage Forge LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification. You agree to cooperate fully in the defense of such matters.
Stage Forge LLC shall not be liable for any delay, interruption, failure, or inability to perform resulting from causes beyond its reasonable control, including but not limited to:
any other event beyond the reasonable control of Stage Forge LLC.
Performance shall be suspended only for the duration of the event and resumed as soon as reasonably practicable.
Stage Forge LLC believes that most disputes can be resolved quickly and fairly without litigation.
Before initiating arbitration or filing any legal proceeding, you agree to first notify Stage Forge LLC in writing of the nature of the dispute and make a good-faith effort to resolve the matter informally.
The parties agree to attempt informal resolution for at least thirty (30) days before commencing arbitration, unless immediate injunctive relief is necessary.
Nothing in this section prevents either party from seeking emergency injunctive relief to protect intellectual property, confidential information, or prevent unauthorized access to the Service.
Except for disputes specifically excluded in these Terms or where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to:
or any relationship between you and Stage Forge LLC,
shall be resolved exclusively through final and binding arbitration on an individual basis rather than in court.
This arbitration agreement is governed by the Federal Arbitration Act ("FAA") to the fullest extent permitted by law.
Unless otherwise agreed by the parties, arbitration shall be conducted by a mutually agreed-upon arbitration provider under its applicable commercial arbitration rules.
The arbitrator shall have exclusive authority to determine the scope, interpretation, enforceability, and applicability of this arbitration agreement, except where applicable law provides otherwise.
The arbitrator may award only those remedies available under applicable law and these Terms.
Unless the parties agree otherwise, arbitration shall take place in the State of Nevada.
Remote hearings may be conducted by video conference, telephone, or other electronic means when permitted by the arbitrator.
YOU AND STAGE FORGE LLC AGREE THAT ALL CLAIMS SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.
NEITHER PARTY SHALL PARTICIPATE AS A PLAINTIFF, CLASS REPRESENTATIVE, OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, MASS ARBITRATION, OR REPRESENTATIVE PROCEEDING TO THE EXTENT PERMITTED BY LAW.
The arbitrator shall have no authority to consolidate claims involving multiple customers without the written consent of all parties.
Nothing in these Terms prevents either party from bringing an individual qualifying claim in a court of competent small claims jurisdiction where permitted by law.
Notwithstanding any other provision of these Terms, Stage Forge LLC may seek temporary, preliminary, or permanent injunctive relief in any court of competent jurisdiction to protect:
other intellectual property rights.
The parties acknowledge that unauthorized use of the Service may cause irreparable harm for which monetary damages alone may be inadequate.
To the fullest extent permitted by law, any claim arising from or relating to the Service must be filed within one (1) year after the event giving rise to the claim.
Claims not filed within this period shall be permanently barred unless a longer period is required by applicable law.
Stage Forge LLC may suspend, restrict, or terminate your access to the Service immediately, with or without notice, if:
necessary to protect Stage Forge LLC, other customers, or third parties.
Termination does not relieve you of any payment obligations incurred before termination.
Sections concerning intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, arbitration, and any provisions that by their nature should survive termination shall remain in effect.
These Terms shall be governed by and interpreted in accordance with the laws of the State of Nevada, without regard to conflict of law principles, except where federal law preempts state law.
Where court proceedings are permitted under these Terms, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Clark County, Nevada, unless applicable law requires otherwise.
Stage Forge LLC may modify these Terms from time to time.
Material changes will become effective upon reasonable notice, which may be provided through the Service, by email, or by other electronic communication.
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the revised Terms.
If you do not agree to the updated Terms, you must discontinue use of the Service.
These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and any other policies expressly incorporated by reference, constitute the complete agreement between you and Stage Forge LLC regarding the Service.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by Stage Forge LLC to enforce any provision shall not constitute a waiver of that provision or any other right.
These Terms may not be assigned by you without the prior written consent of Stage Forge LLC. Stage Forge LLC may assign these Terms in connection with a merger, acquisition, sale of assets, corporate restructuring, or by operation of law.
